1. Acceptance of These Terms
These Terms of Service govern the use of the website at www.edjtabuk.buzz and the review services offered by Edj Tabuk Investments Inc. By accessing the website, sending a note to the office, or asking the holding to read a file, you agree to these terms. If you do not agree, you should not use the website and you should not send a file to the office.
These terms apply together with any written arrangement that is agreed for a particular file. Where a signed arrangement conflicts with these terms, the signed arrangement prevails for that file, and these terms continue to govern everything else. Nothing on the website is an offer capable of acceptance in itself, and a file only becomes a matter for the holding when the office confirms in writing that it has been accepted.
If you are using the website or sending a note on behalf of a corporation, a trust, an estate or another person, you confirm that you are authorised to do so and that you have the power to bind that organisation or person to these terms. If your authority is limited, you should tell the office in the first note so that the limit can be recorded.
2. Definitions
In these terms, the Company means Edj Tabuk Investments Inc., a private investment holding seated at 6836 Round Leaf Crt, Mississauga - L5N 6X6, Canada (CA). We, us and our refer to the Company. You and your refer to the person using the website or sending a note.
The website means every page published at www.edjtabuk.buzz, together with its stylesheets and scripts. The services mean the six review activities described on the services page: property stake reviews, quiet partnership terms, dividend routing plans, estate timeline checks, portfolio hygiene audits and founder loan restructuring.
A file means the collection of documents, notes and correspondence that relates to a particular matter that you have asked the Company to read. A note means the written opinion that the Company prepares after reading a file. The ledger means the physical record in which the Company enters the date and the substance of each note.
A holder means a person who owns, administers or represents a stake, a partnership interest, an estate, a portfolio or a loan that is the subject of a file. A counterparty means another person who has an interest in the same matter, such as a partner, a co-owner, a borrower, a lender or a beneficiary.
3. Who We Are
Edj Tabuk Investments Inc. is a private investment holding engaged in the review and stewardship of property stakes, quiet partnership positions, dividend routing arrangements, estate timelines, portfolio hygiene and founder loan restructuring. The holding invests its own capital, lends its own patience and keeps its records in a single office in Mississauga, in the province of Ontario.
The full office address is 6836 Round Leaf Crt, Mississauga - L5N 6X6, Canada (CA). The office telephone number is +15392826313 and the office email address is reception@edjtabuk.buzz. These are the only official channels for reaching the Company, and a message received through any other channel should be confirmed with the office before it is relied upon.
The Company is not a bank, a trust company, an insurer, an investment fund, a portfolio manager or a dealer. It does not accept deposits, it does not offer securities to the public, and it does not manage money on behalf of other people. The services described on the website are reviews and restructurings of files that a holder already owns, and they are offered so that a decision can be made with clear written facts.
4. Use of the Website
The website is provided so that a reader can learn what the holding does, how a file is read, and how to reach the office. You may read the pages, print them for your own use, and share a link with a colleague or an adviser. You may not copy a substantial part of the website into another publication, present it as your own, or use it to train a commercial model without written permission.
You agree not to interfere with the operation of the website, not to attempt to gain unauthorised access to any system, not to introduce malicious code, and not to use an automated tool to collect content in a way that places an unreasonable load on the hosting service. You also agree not to use the contact form to send unsolicited advertising, to impersonate another person, or to send material that is unlawful, threatening or defamatory.
The website is intended for adults who hold or administer an asset or a file. It is not directed at children, and it should not be used by a child without the involvement of a parent or guardian. The Company may suspend access to the website for any person who breaches these terms, and it may do so without notice where the breach creates a security risk.
You are responsible for the equipment and the connection that you use to reach the website. The Company does not supply a device, a connection or a supported browser, and it cannot guarantee that every feature will work on every device. The pages are built to remain readable without scripts, and a fallback is provided for the contact form.
5. Scope of the Review Services
The services are set out on the services page and each has a defined scope. A property stake review reads the documents that establish and burden a stake and produces a note on what is owned, what is administered and what should be fixed. A quiet partnership review reads and, where instructed, drafts partnership terms that can survive a disagreement. A dividend routing plan decides in advance where distribution income should go.
An estate timeline check builds a schedule backward from an intended handover and identifies the steps that carry a deadline. A portfolio hygiene audit assembles the small untidiness of a portfolio into one list and closes it in order of consequence. A founder loan restructuring establishes the outstanding amount, sets a rate and a maturity, defines a conversion path and writes a repayment schedule.
The scope of a file is confirmed in writing before the reading begins. If the reading reveals that the file is larger than the confirmed scope, the office will pause, explain what has been found, and ask whether the scope should be extended. The Company will not continue work beyond the confirmed scope without your agreement, and it will not charge for work that you have not authorised.
The Company may decline a file for any lawful reason, including a conflict of interest, a lack of the relevant expertise, an incomplete set of documents, or a belief that the file would be better served by a different kind of adviser. A declined file will receive a written explanation and, where possible, a suggestion of the kind of specialist that might help.
6. No Legal, Tax or Investment Advice
The Company is not a law firm, an accounting firm or a registered investment adviser. A note prepared by the Company is a review of documents and a statement of the facts and risks that the documents reveal. It is not legal advice, it is not tax advice, and it is not a recommendation to buy, sell or hold any asset.
Where a file requires a legal opinion, a tax computation or an investment recommendation, the Company will say so and will suggest that you obtain the relevant professional advice. A referral does not make the Company responsible for the work of the professional, and it does not transfer the professional relationship to the Company. You remain responsible for choosing and instructing your own advisers.
The Company may describe general principles that are commonly relevant to a kind of file, such as the importance of a clear title or the value of a written repayment schedule. A general principle is not advice about your particular situation, and it should not be relied upon as though it were. Every file turns on its own facts, and the note is written for the facts that were provided.
Tax and legal rules change, and a note reflects the position at the date it is signed. The Company does not undertake to monitor a change in the law after a file is closed, and you should return for a fresh reading if the law or your circumstances change in a material way.
7. No Client or Fiduciary Relationship
Sending a note to the office does not create a client relationship, an agency, a partnership, a joint venture or a fiduciary duty. A relationship of that kind arises only when the office confirms in writing that a file has been accepted and states the scope and the fee. Until that confirmation is received, the Company has no obligation to read the file, to keep it, or to act on it.
Where a file is accepted, the relationship is that of an independent reviewer providing a written note within the confirmed scope. The Company does not act as your agent, does not hold your assets, and does not have authority to sign a document on your behalf unless a separate written authority is agreed. A note is prepared for your use and for the use of the advisers you choose to share it with.
If you are one of several counterparties to a matter, the Company may be asked to review the same documents for more than one of you. In that situation the Company will tell each person that the review is shared and will not treat one person as its client against another. Where the interests of the counterparties diverge, the Company will stop and will ask each person to obtain separate advice.
The Company owes a duty of confidentiality to the person who provided a document, and it owes a duty of honesty to everyone who reads a note. Those duties are described in the privacy policy and in Section 8 of these terms, and they continue after a file is closed.
8. Submissions and Confidentiality
A note sent through the contact form, by email or by post is treated as confidential once it reaches the office. The Company will not disclose the existence of a note or the content of a file to another person without your authority, except where the law requires disclosure or where disclosure is necessary to establish, exercise or defend a legal claim.
Confidentiality is not absolute. The Company may share information with a professional adviser whom you have asked it to coordinate with, with a counterparty whom you have authorised it to contact, with a service provider that processes information on its behalf, and with a public authority where the law requires it. Section 9 of the privacy policy describes these situations in more detail.
You should not send a document before the office asks for it. The first note is meant to be a description, and a description is enough to begin. Sending a large volume of sensitive material before the Company has confirmed that it can accept the file creates a risk for you and a burden for the office, and the Company may return or destroy material that arrives unexpectedly.
The Company keeps a physical ledger and a digital index. The ledger records the date and the substance of each note, and it is the authoritative record of what was decided. You may ask to see the entry that relates to your file, and the office will provide a copy of the relevant page where it is safe to do so.
9. Your Obligations
You agree to provide information that is accurate and complete to the best of your knowledge, and to tell the office promptly if something you have provided turns out to be wrong. A note is only as reliable as the facts on which it is based, and an incomplete set of facts can produce a conclusion that is correct in form and wrong in substance.
You agree to tell the office about any conflict of interest that you are aware of, any person who has a competing claim to the same asset, and any legal proceeding that is underway or threatened in relation to the file. You also agree to tell the office if a counterparty has objected to the review, because a review that creates an unexpected dispute is worse than no review at all.
You agree to use a note for its stated purpose and not to present it as a legal opinion, a tax computation, an audit opinion or an investment recommendation. If you share a note with a third party, you should share it in full rather than in part, so that the qualifications and the limits in the note travel with the conclusions.
You agree to pay the agreed fee for an accepted file, to respond to reasonable questions within a reasonable time, and to tell the office if you decide to close the file. A file that is left open without a response for an extended period may be closed by the Company after a written reminder.
10. Fees and Payment
A first note sent to the office is free of charge and creates no obligation. If the Company believes that the file belongs on its counter, it will send a written proposal that states the scope, the fee, the expected time and the person who will do the work. Work begins only when you accept the proposal in writing.
Fees are stated in Canadian dollars and are exclusive of any tax that applies, unless the proposal says otherwise. A fee may be fixed for the whole file or set at an hourly rate for a file whose scope cannot be known in advance. Where an hourly rate is used, the proposal will state the rate, the expected range of hours and the point at which the office will pause to confirm the budget.
Payment is due within thirty days of the date of the invoice, unless the proposal states a different period. A late payment may attract interest at a rate stated in the proposal, and the Company may pause work on a file while an undisputed invoice remains unpaid. The Company will not withhold a completed note solely because of a good faith dispute about a part of the fee, provided that the undisputed part has been paid.
If a file is closed before the work is complete, the fee is adjusted to reflect the work actually done. Any amount paid in advance for work that has not been done will be returned within thirty days. The Company will provide a short statement of the work that was completed so that the adjustment can be checked.
11. Intellectual Property
The website, its text, its stylesheets and its scripts are owned by the Company and are protected by copyright and by other laws that apply in Canada and elsewhere. The name Edj Tabuk Investments Inc., the round leaf medallion and the design of the ledger room are identifiers of the holding, and they may not be used in a way that suggests a connection with the Company where none exists.
When a file is accepted and paid for, you receive a licence to use the note for the purpose for which it was prepared. The licence is non-exclusive, it is not transferable without written permission, and it does not extend to republication of the note as a public document. You may share the note with your advisers, your counterparties and a court or a regulator where the law requires it.
The Company retains the right to use the general knowledge and experience gained from a file in its other work, provided that no confidential information of yours is disclosed. The templates, checklists and methods used in a review remain the property of the Company, even where they were adapted for your file.
A document that you provide remains yours. The Company does not acquire ownership of your documents by reading them, and it will return or destroy a document at your request once the file is closed, subject to any legal obligation to retain a copy.
12. Third Party Content and Links
The website may link to the site of a professional adviser, a public registry or another source that is relevant to the work. Those links are provided for convenience. The Company does not control the destination, does not endorse its content, and is not responsible for its accuracy or its privacy practice.
A note may refer to a third party document, such as a title, a survey or a contract, that was provided by you or by a counterparty. The Company reads that document as it was given, and it does not verify the document against an independent registry unless the scope of the file includes that verification. Where verification is outside the scope, the note will say so.
If a third party site is used to send a message or to share a document, the terms and the privacy policy of that site apply to the transmission. The Company cannot protect information while it is in the hands of a service that it does not control, and you should choose a channel that is appropriate for the sensitivity of the material.
13. Availability and Changes to the Website
The website is provided on an as available basis. The Company aims to keep it reachable, but it does not promise uninterrupted access and it may suspend the site for maintenance, for a security fix or for a change in the hosting arrangement. A short interruption does not affect a file that is already open, because the work of the office does not depend on the website being live.
The Company may add, change or remove a page at any time. It may also change the description of a service, provided that a change does not reduce the scope of a file that has already been accepted. Where a change affects an open file, the office will tell you in writing before the change takes effect.
The Company does not promise that the website will be free of every error. It checks the pages when they are published and it corrects an error when it is found, but a reader should confirm a material fact with the office before relying on it. A description on the website is a summary, and the proposal for a specific file is the authoritative statement of what will be done.
14. Disclaimers
To the fullest extent permitted by law, the website and the services are provided without a warranty of any kind, whether express or implied, including a warranty of merchantability, fitness for a particular purpose, accuracy or non infringement. The Company does not warrant that a note will produce a particular financial result, that a stake will increase in value, or that a counterparty will accept a proposed term.
The Company does not warrant that a document provided by you is authentic, complete or current. It reads the document as it was given and it describes what the document says. Where authenticity matters, the scope of the file should include verification, and the proposal will state whether that verification is included.
A review reduces uncertainty. It does not remove it. Every stake, partnership, estate and loan carries a risk that no review can eliminate, and a note is a description of the risk rather than a guarantee against it. You remain responsible for the decision that follows the note, and for the advisers you choose to consult before making it.
Nothing in these terms excludes a warranty or a condition that cannot be excluded by law. Where such a warranty or condition applies, the Company limits its liability in the manner described in Section 15, to the extent that the law allows.
15. Limitation of Liability
To the fullest extent permitted by law, the Company is not liable for an indirect, incidental, special, consequential or punitive loss, including a loss of profit, a loss of opportunity, a loss of goodwill or a loss arising from a decision that you made after reading a note. This limit applies whether the claim is framed in contract, in tort, in statute or in any other way.
Where liability cannot be excluded, the total liability of the Company in relation to a file is limited to the fee paid for that file, or to the sum of one thousand Canadian dollars, whichever is greater. Where the claim relates only to the use of the website, the total liability is limited to one hundred Canadian dollars.
These limits do not apply to a loss that results from fraud, from wilful misconduct, or from a matter for which the law does not permit a limitation. They also do not apply to the extent that a court finds that the loss was caused by the Company and that a limit would be unconscionable in the circumstances.
A claim must be brought within two years of the date on which the claimant knew or ought reasonably to have known of the facts that give rise to it. A failure to bring a claim within that period bars the claim, to the extent that the law permits a limitation period to be agreed.
16. Indemnity
You agree to indemnify the Company, and the individuals who work in its office, against a claim, a loss, a liability or an expense that arises from your breach of these terms, from a document that you provided without the authority to share it, or from a use that you made of a note outside the purpose for which it was prepared. This indemnity does not apply to the extent that the claim results from the negligence or the wilful misconduct of the Company.
The Company will tell you promptly if a claim is made that may fall within this indemnity, and it will give you a reasonable opportunity to participate in the response. The Company retains the right to conduct its own defence, and it will not settle a claim in a way that admits fault on your part without your consent, which will not be unreasonably withheld.
This indemnity survives the closing of a file and the termination of these terms. It applies to a claim that is brought after the relationship has ended, provided that the claim relates to the period during which the file was open.
17. Privacy
The Company handles personal information in accordance with its privacy policy, which forms part of these terms by reference. The privacy policy explains what is collected, why it is collected, how long it is kept and how a person can exercise a right in relation to it.
By sending a note or sharing a document, you confirm that you have read the privacy policy. If you are sharing information about another person, you confirm that you have the authority to share it and that the other person has been told how the information will be used. Where the other person has not been told, the office will ask you to arrange that notice before the reading proceeds.
The privacy policy is available at the privacy page of the website. A printed copy can be requested from reception@edjtabuk.buzz, and the office will provide it without charge. A question about privacy may be sent to the same address or raised by telephone at +15392826313.
18. Termination
You may close a file at any time by writing to the office. The Company may close a file where the scope has been completed, where an invoice remains unpaid after a written reminder, where a conflict of interest has arisen, where a counterparty has objected and the objection cannot be resolved, or where the file has become unethical or unlawful to continue.
On termination, the Company will finish any work that has been paid for and is capable of completion, will return or destroy the documents that you have asked it to return or destroy, and will issue a final statement of the work that was done. The confidentiality obligation in Section 8 continues, and the ledger entry that records the file is kept for the retention period described in the privacy policy.
Termination does not release you from an obligation to pay for work that has already been done, and it does not release the Company from an obligation to return a document or to protect information that it holds. Sections 6, 7, 11, 14, 15, 16, 19 and 21 survive termination.
19. Governing Law and Jurisdiction
These terms are governed by the laws of the province of Ontario and by the federal laws of Canada that apply in Ontario, without regard to a conflict of laws rule. The office of the Company is in Mississauga, and the work of the holding is carried out in Ontario.
Subject to Section 20, the courts of Ontario have exclusive jurisdiction over a dispute that arises from these terms or from a file, and each party submits to that jurisdiction. A person who is resident in another country may also have a right under a mandatory consumer law of that country, and nothing in this section removes a right that cannot be removed by agreement.
Where a dispute concerns a property that is located in another province or country, a court of that place may have a jurisdiction that cannot be excluded. In that situation, these terms continue to apply to the extent that they are consistent with the law of the forum, and the parties will cooperate in good faith to resolve the dispute in a single proceeding where that is possible.
20. Dispute Resolution
If a dispute arises, the parties will first attempt to resolve it by written correspondence. A party who wishes to raise a dispute will send a short written description of the issue to the other party, and the other party will respond within fifteen business days. The correspondence is confidential and is not to be used in a later proceeding except to show that an attempt was made.
If the correspondence does not resolve the dispute within thirty days, the parties will attempt a mediation before a single mediator agreed by both parties, or appointed by a recognised mediation body in Ontario if they cannot agree. The cost of the mediator is shared equally unless the mediator decides otherwise. A mediation is confidential, and nothing said in it is binding unless the parties sign a settlement.
If mediation does not resolve the dispute, either party may bring a proceeding in the courts of Ontario. The parties may agree in writing to arbitration instead, in which case the arbitration will be conducted in Toronto under the arbitration law of Ontario, by a single arbitrator with experience in commercial or property matters.
Nothing in this section prevents a party from seeking urgent relief from a court where a delay would cause irreparable harm, such as an injunction to protect a document or to prevent a disclosure of confidential information.
21. General Provisions
These terms, together with the privacy policy and any signed arrangement for a file, form the entire agreement between the parties on the subject matter and replace an earlier discussion or understanding. A statement made in a conversation does not vary these terms unless it is confirmed in writing by the office.
If a provision of these terms is found to be invalid or unenforceable, the provision will be limited to the extent necessary to make it enforceable, and the remaining provisions will continue in full force. A failure to enforce a provision on one occasion is not a waiver of the right to enforce it on another occasion.
A notice under these terms must be sent in writing to reception@edjtabuk.buzz, or by post to Edj Tabuk Investments Inc. at 6836 Round Leaf Crt, Mississauga - L5N 6X6, Canada (CA). A notice is effective when it is received, or when it would have been received in the ordinary course of delivery. A notice by email is effective on the next business day after it is sent, provided that no delivery failure is reported.
The Company may assign its rights and obligations under these terms to a successor organisation that agrees to be bound by them. You may not assign your rights or obligations without the written consent of the Company. These terms do not create a right for any person who is not a party to enforce a provision, except where the law provides otherwise.
A heading in these terms is for convenience only and does not affect the interpretation of the provision that follows it. A reference to a statute includes a regulation made under it and a replacement statute. A reference to writing includes an email and a document in a portable format, but it does not include an oral statement.
22. Changes to These Terms
The Company may change these terms from time to time. A material change will be announced on the homepage of the website before it takes effect, and a holder with an open file will receive a short written note describing the change. The date at the top of the page shows the version that is currently in force.
A change applies to a file that is accepted after the change takes effect, and to the use of the website after the change takes effect. A change does not apply retroactively to a file that was accepted before the change, unless the person who holds the file agrees in writing.
If a change is not acceptable to you, you may close your file before the change takes effect, and the Company will adjust the fee to reflect the work that has been done. Continuing to use the website after a change takes effect is treated as acceptance of the change, and the office will make the current version easy to find on every page.
A previous version of these terms can be requested from reception@edjtabuk.buzz, and the office will provide a copy where the retention of that version is permitted by law. The current version on the website is always the authoritative one.
23. Contact Information
A question about these terms should be sent to reception@edjtabuk.buzz, or by post to Edj Tabuk Investments Inc. at 6836 Round Leaf Crt, Mississauga - L5N 6X6, Canada (CA). The office telephone number is +15392826313, and a person may call during business hours to ask for the person who handles legal and privacy questions.
The office is open from Monday to Thursday between 9:00 and 17:00 Eastern Time, and on Friday between 9:00 and 13:00 Eastern Time. The office is closed on statutory holidays in Ontario and during the last week of December. A message received outside those hours will be answered on the next business day.
If a question concerns a file that is already open, the reply will come from the member of the team who is working on the file, so that the answer is connected to the documents. If a question concerns the website or these terms, the reply will come from the office, and a copy will be placed in the ledger so that the answer can be found again.
We would rather answer a question early than resolve a misunderstanding late. A short note is enough to begin, and the office will treat it with the same care that it treats a file.
